TERMS AND CONDITIONS FOR APPLICATION OF SALES AGENT

This Sales Agent agreement is entered into and deemed effective as of the date of the Sales Agents’ registration on our platform.

Appointment and Authority

The Company agrees to appoint the Sales Agent as a representative for the Company’s products and services. Further the Sales Agent is in acceptance of such appointment.

Registration of Prospects

The Sales Agent is required to register prospects onto the Company’s platform, where a unique referral code will be generated to indicate the prospect “belongs” to the Sales Agent’s

Commission

Commission due to the Sales Agent shall be computed at the end of the calendar month and will be based on the referral code.

A monthly earnings statement will be made available to the Sales Agent via a dashboard on the Company’s platform.

Sale of Product and Services

The Company shall provide an updated price list on its website and any changes to the price shall be informed on the website.

The Sales Agent will have no authority to offer discounts or any other pricing unless prior written consent has been obtained from the Company.

Additionally, the Company may change pricing, delivery costs, terms and conditions or delivery schedules without any prior notice to the Sales Agent. These changes will be informed via the Company’s website

All orders are subject to acceptance by the Company. The Sales Agent will have no authority to make acceptance or delivery promises to customers.

The Company will be responsible for any and all collection but may request the assistance of the Sales Agent to cure such debts. Any and all inquiries shall be directed to the Company.

Sales Agent Responsibilities

The Sales Agent shall advise all customers and prospects that prohibited items as per this list shall not be packed into the customers and prospects unaccompanied baggage.

The Sales Agent may, at their own expense, deploy advertising or sponsorship campaigns. The Sales Agent may, at its own expense, attend any industry trade shows as a representative of the Company.

The Sales Agent will be responsible for all costs and expenses incurred from conducting business within the scope of this agreement. The Sales Agent shall not under any circumstances make any misleading or false representation regarding the products or company.

The Company Responsibility

The Company will provide any and all sales training, if required. When possible, all training should take place online or at the Company’s headquarters. The Company shall, at their sole expense, provide the Sales Agent with all necessary information concerning the products and services sold.

Trademarks

During the term of this agreement, the Sales Agent shall have rights to represent the products and services of the Company including those under trademark, copyright or trade name.

Confidentiality

The Sales Agent understands they may gain knowledge to certain information or materials that are of high value to the Company. Information of high value may not be disclosed to third parties under any circumstances during the term of this agreement. All information marked confidential by the Company will remain as so unless prior written consent from the Company has been obtained.

Indemnification

It is and will remain the Company’s sole responsibility to develop and design the product and services to be sold. The Company agrees to hold the Sales Agent harmless against as well as pay any and all claims, losses, fees or damages that may result from the sale and use of our products and services.

If the Sales Agent shall receive any notices with regards to any proceedings occurring from the above instances such notices shall be delivered to the Company and the Company shall defend such litigation.

Term and Termination

This Sales Agent agreement shall remain in force for a period of 1 year from the date of the Sale Agent’s registration on the Company’s platform and shall remain in force unless a request for termination is received by either party.

Termination

This agreement may be terminated under any of the following conditions:

a) Either parties filing for bankruptcy;

b) Any breach of the conditions listed that is not cured within 30 days of notice.

c) Upon either party’s conviction of a crime or action that impacts the performance and ability to abide by the agreement terms.

d) Sales Agent is inactive for a period of 90 days.

Governing Laws

This agreement shall be governed by the laws of Malaysia.

Acceptance

The Sales Agent is deemed to have accepted and agreed to the terms contained herein upon completing the registration process on the Company’s platform.
